For the purposes of the first proviso to S. 310, the amount of remuneration by way of fee for each meeting of the Board of Directors or a Committee thereof shall be as follows (Refer Rule 10B):

(a) Companies with paid-up capital and free reserves of Rs. 10 crores and above or turnover of Rs. 50 crores and above	Not exceeding Rs. 20,000/-
(b) Other Companies	Not exceeding Rs. 10,000/-
